END USER LICENSE AGREEMENT (EULA)

Photo AI Tagger

1. General Terms

This End User License Agreement (“Agreement”) governs the use of the Photo AI Tagger software (“Software”).
By purchasing, downloading, installing, or using the Software, you accept the terms of this Agreement.

2. Definitions and Interpretation

In this Agreement:

  • “Software” means the Photo AI Tagger program and all components provided by the Licensor;

  • “License Key” means the code or activation mechanism that enables the Software;

  • “User” means the individual or entity using the Software;

  • “Licensor” means the copyright owner of the Software.

If any provision is found invalid or unenforceable, the remaining provisions shall remain in effect.

3. License

  • The Licensor grants you a non-exclusive, non-transferable license to use the Software on one computer workstation.

  • The license is valid from the moment of purchase.

4. Restrictions

You may not:

  • share, sell, rent, or lease the Software to third parties;

  • resell or distribute license keys or activation accounts without the Licensor’s consent;

  • decompile, modify, or attempt to reverse-engineer the source code;

  • remove trademarks, copyright notices, or technical protection measures;

  • bypass, remove, or modify license protections or activation mechanisms;

  • use the Software illegally or for prohibited activities;

  • grant sublicenses, transfer rights, or assign the license to third parties;

  • use the Software in a manner that could disrupt the networks, servers, or systems of the Licensor.

5. Intellectual Property

All copyrights, trademarks, and other intellectual property rights in the Software belong to the Licensor. This Agreement does not transfer any ownership rights to you.

6. Updates and Changes to Terms

The Licensor may provide updates, patches, or new versions of the Software.
The Licensor may also modify the terms of this Agreement, notifying the user via email or upon software startup. Continued use after such changes constitutes acceptance of the new terms.

7. Liability and Indemnification

The Software is provided “as is.” The Licensor shall not be liable for any damages arising from use of the Software, except as required by law.
The User agrees to defend, indemnify, and hold the Licensor harmless from any claims, damages, costs, or expenses arising from the User’s use of the Software in violation of this Agreement or the law.

8. Termination

The Licensor may immediately terminate the license if the User breaches this Agreement.
Upon termination, the User must stop using the Software, uninstall it, and delete all copies.

9. Export and Geographic Restrictions

The User agrees not to export the Software or License Keys to countries subject to international sanctions or where use would be unlawful.

10. Term

This Agreement takes effect upon purchase and remains in force until terminated.

11. Entire Agreement

This Agreement constitutes the entire agreement between you and the Licensor regarding the Software license and supersedes all prior agreements.

12. Governing Law

This Agreement is governed by Polish law. Any disputes shall be settled by the competent court in Poland.
